Terms of Use
1. About these terms
These terms of use govern your access to and use of the Ashcourt Portal at ashcourt.app and any business systems hosted on it (together, the “Portal”). The Portal is operated by Ashcourt Group, with registered address Foster Street, Hull, HU8 8BT, United Kingdom (“Ashcourt”, “we”, “us” or “our”).
By accessing or using the Portal, you agree to be bound by these terms. If you do not agree, you must not use the Portal.
2. Who can use the Portal
The Portal is provided for use by:
- Employees and contractors of companies within Ashcourt Group;
- Authorised partner users granted access in writing by Ashcourt; and
- Other individuals expressly authorised by Ashcourt.
You must be at least 18 years old to use the Portal. If you are using the Portal in connection with your employment or another organisation, you confirm that you are authorised to do so on that organisation’s behalf.
3. Accounts and security
Access to most parts of the Portal requires an account. You agree that you will:
- Provide accurate information when your account is set up and keep it up to date.
- Keep your credentials (username, password and any multi-factor authentication factors) confidential and not share them with anyone else.
- Use multi-factor authentication where it is offered or required.
- Notify us immediately at info@ashcourt.com if you suspect any unauthorised use of your account or any other breach of security.
- Be responsible for all activity carried out under your account.
We may suspend or terminate your account at any time if we reasonably believe you have breached these terms or that suspension is necessary to protect the Portal, other users, or Ashcourt’s legitimate interests.
4. Acceptable use
You agree that you will not:
- Use the Portal for any unlawful, fraudulent or harmful purpose.
- Access, or attempt to access, any system, account, data or area of the Portal that you are not authorised to use.
- Introduce viruses, worms, trojans, ransomware, logic bombs or other material that is malicious or technologically harmful.
- Attempt to gain unauthorised access to the Portal, the server on which the Portal is hosted, or any server, computer or database connected to it.
- Attack the Portal via a denial-of-service attack or distributed denial-of-service attack.
- Probe, scan or test the vulnerability of the Portal, or breach or attempt to breach any security or authentication measures, except with our prior written consent and in accordance with a responsible disclosure process.
- Reverse engineer, decompile, disassemble or otherwise attempt to derive source code from the Portal, except to the extent permitted by law.
- Copy, store, modify, distribute, transmit, display, sell, license or otherwise exploit any content from the Portal except as expressly permitted by Ashcourt.
- Use the Portal in any way that could damage, disable, overburden or impair it, or interfere with any other party’s use of the Portal.
- Use any automated means (including bots, scrapers or crawlers) to access the Portal, except for legitimate integrations explicitly authorised by Ashcourt in writing.
By breaching this clause you may commit a criminal offence under the Computer Misuse Act 1990. We may report any such breach to the relevant law enforcement authorities and will co-operate with them by disclosing your identity. In the event of such a breach, your right to use the Portal will cease immediately.
5. Data you submit
You are responsible for the accuracy and lawfulness of any data you submit to the Portal. You must not upload personal data about other individuals unless you have a lawful basis to do so. Personal data is processed in accordance with our Privacy Policy.
You must not upload to the Portal any content that is unlawful, defamatory, obscene, infringing, confidential to a third party (without permission) or otherwise inappropriate for a business system.
6. Intellectual property
The Portal, its underlying software, design, branding, text, graphics and other content (other than content you submit) are owned by Ashcourt or its licensors and are protected by intellectual property laws. Nothing in these terms transfers ownership of any intellectual property rights to you.
You are granted a limited, revocable, non-exclusive, non-transferable licence to access and use the Portal in accordance with these terms and any role and entitlements assigned to you.
The “Ashcourt” name and logo are trade marks of Ashcourt Group. You must not use them without our prior written consent.
7. Availability and changes to the Portal
We aim to keep the Portal available at all times, but we do not guarantee uninterrupted availability. The Portal may be temporarily unavailable for maintenance, upgrades or for reasons beyond our reasonable control. We may add, change, suspend or remove features at any time.
We may also update these terms from time to time. The version number and effective date at the top of this page will always show the latest version. Continued use of the Portal after a change has been published constitutes acceptance of the updated terms.
8. Disclaimers
The Portal is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we make no representations or warranties of any kind, express or implied, about the operation of the Portal or the accuracy, completeness or reliability of any information made available through it.
You are responsible for ensuring that your use of the Portal, and any decisions made on the basis of information held in or generated by the Portal (including financial information), are appropriate for your purposes.
9. Limitation of liability
Nothing in these terms excludes or limits our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; or any other liability that cannot be excluded or limited under applicable law.
Subject to that, to the maximum extent permitted by law, we will not be liable for any:
- loss of profits, sales, business or revenue;
- business interruption;
- loss of anticipated savings;
- loss of business opportunity, goodwill or reputation;
- loss or corruption of data; or
- any indirect or consequential loss or damage,
arising out of or in connection with your use of, or inability to use, the Portal.
If you are using the Portal as a consumer rather than in the course of a business or your employment, your statutory rights as a consumer under the Consumer Rights Act 2015 are not affected by these terms.
10. Termination
We may suspend or terminate your access to the Portal at any time, with or without notice, if you breach these terms, if your employment or contractual relationship with Ashcourt or a partner organisation ends, or if we decide to discontinue the Portal or any part of it. The provisions of these terms which by their nature should survive termination will continue to apply.
11. Governing law and jurisdiction
These terms and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction to settle any such dispute or claim.
